Service Agreement for the Use of DynapiCMS
Revision 1.0. Effective August 11, 2026.
1. General provisions
1.1. This document is an official offer (public offer) of Individual Entrepreneur SOLOMANIDIN EVGENIY VLADIMIROVICH, OGRNIP 326619600175766, INN 616899285500 (hereinafter — “Contractor”), addressed to an indefinite circle of persons (hereinafter — “User”), to conclude a contract for the provision of services for access to the online service DynapiCMS (hereinafter — “Service” / “DynapiCMS”), accessible at dynapi.ru.
1.2. The Agreement is concluded by acceptance of this offer (clause 3 article 438 of the Civil Code of the Russian Federation).
1.3. The offer is deemed accepted if the person has performed any of the following actions:
- indicated consent to the terms of this offer during account registration at dynapi.ru/register and completed the registration;
- logged in to the Service using a previously created account.
1.4. The User guarantees that they are an individual entrepreneur or a legal entity registered in accordance with the legislation of the Russian Federation, or an individual with full legal capacity. Use of the Service by minors is not permitted.
2. Subject of the Agreement
2.1. The Contractor undertakes to provide the User (hereinafter — “Client”) with access to the Service — a multi-tenant online content management platform (CMS), and the Client undertakes to accept the services and pay for them in accordance with this Agreement and the Client’s subscription plan.
2.2. The Service provides the Client with an isolated workspace (“project” / “tenant”), accessible using the Client’s unique account.
2.3. The list of Service features is determined by the Client’s subscription plan and may be changed by the Contractor unilaterally, subject to prior notification to the Client by email at least 7 (seven) calendar days before the changes take effect.
3. Account registration
3.1. Account registration is carried out by the Client independently at dynapi.ru/register. For registration, the Client provides the following data: email address, name, password.
3.2. The Client undertakes to provide accurate data. The Contractor may request the Client to confirm the provided data if doubts arise about its accuracy.
3.3. The Client is responsible for the security of the password and for all actions performed using their account. The Contractor is not liable for unauthorized access by third parties to the Client’s account.
3.4. Registration of multiple accounts by one person is permitted. Use of automated means (bots, scripts) for account registration without the Contractor’s written consent is prohibited.
4. Multi-tenant data processing model
4.1. The Client acknowledges and agrees that the Service is a multi-tenant platform: each Client has an isolated workspace, while the technical infrastructure of the Service is shared among all Clients.
4.2. With respect to personal data that the Client collects through their website or application hosted on the platform:
- The Client is the data controller within the meaning of the Russian Federal Law No. 152-FZ of July 27, 2006, “On Personal Data”. The Client independently determines the purposes and means of processing, obtains the data subjects’ consent, and is responsible to them;
- The Contractor is the processor of personal data on behalf of the Client in accordance with clause 3 article 6 of the said Federal Law. The Contractor processes personal data exclusively on the basis of the Client’s instructions expressed through the Service’s functionality.
4.3. The Client undertakes to independently notify Roskomnadzor of the processing of personal data collected through their website, in accordance with Article 22 of the said Federal Law.
4.4. The procedure for processing personal data of Client accounts is defined in a separate document — the Privacy Policy, available at dynapi.ru/privacy.
5. Rights and obligations of the parties
5.1. Contractor shall:
- provide the Client with access to the Service in accordance with the selected subscription plan;
- ensure the Service operates 24 hours a day, except during scheduled maintenance (for which the Contractor notifies the Client at least 24 hours in advance);
- ensure the confidentiality of Client data in accordance with the Privacy Policy;
- provide the Client with technical support on Service usage matters.
5.2. Contractor is entitled to:
- suspend the Client’s access to the Service in case of the Client’s violation of this Agreement, including the posting of prohibited content (see Section 6);
- unilaterally change tariffs and service composition with prior notification to the Client at least 30 (thirty) calendar days in advance;
- access Client data solely for technical support and security incident investigation purposes.
5.3. Client shall:
- use the Service in accordance with the legislation of the Russian Federation and the terms of this Agreement;
- timely pay for the Contractor’s services in accordance with the selected subscription plan;
- ensure the accuracy of the data provided during registration;
- refrain from actions aimed at disrupting the Service or unauthorized access to other Clients’ data.
5.4. Client is entitled to:
- use the Service within the limits defined by the subscription plan;
- terminate the use of the Service at any time following the termination procedure (Section 11);
- contact the Contractor’s technical support regarding any issues.
6. Restrictions on Service use
6.1. The Client is prohibited from using the Service to post and/or distribute the following materials:
- materials violating the legislation of the Russian Federation, including extremist, terrorist, pornographic (including child pornography) materials, or materials propagating violence;
- materials violating the intellectual property rights of third parties;
- materials unlawfully collecting personal data of third parties without their consent;
- materials containing malicious software (viruses, trojans, exploits);
- materials violating network etiquette rules and causing damage to other Service Users.
6.2. Upon discovery of violations, the Contractor is entitled to immediately suspend the Client’s access to the Service and/or delete the relevant content without prior notice.
6.3. The Contractor reserves the right to report cases of posting materials violating Russian law to law enforcement authorities.
7. Payment for services
7.1. The cost of services is determined by the Client’s selected subscription plan. Current tariffs are posted at dynapi.ru/#pricing.
7.2. Payment for services is made in Russian rubles through a third-party payment provider. The Client’s bank card data is not transferred to the Contractor.
7.3. The basic (free) subscription plan is provided to the Client free of charge with the limitations defined by the plan description.
7.4. Refunds are made in cases provided by the Russian Federation consumer protection legislation (if applicable) or the Contractor’s internal rules.
7.5. Paid subscription plans (Starter — 990 RUB/mo, Pro — 2,490 RUB/mo, Business — 6,900 RUB/mo) and the “Site hosting” add-on (990 RUB/mo) are provided on a subscription basis. Payment is charged monthly, in advance for each upcoming month of service, starting from the date the plan is activated. The Business plan includes the “Site hosting” add-on.
7.6. By activating a paid plan or add-on, the Client agrees to regular automatic charges through the payment provider. The Client’s bank card data is not transferred to or stored by the Contractor; the payment provider stores and processes it.
7.7. The Client may disable automatic charges (cancel the subscription) at any time from the Service’s personal account, without contacting support. After cancellation, paid features remain available until the end of the already-paid period; no further charges are made.
8. Intellectual property
8.1. Exclusive rights to the Service software, its design, and interface elements belong to the Contractor.
8.2. Exclusive rights to the content posted by the Client in their project (texts, images, form data, etc.) belong to the Client or to third parties who have granted the corresponding rights. The Client guarantees the availability of necessary rights to use such content.
8.3. The Contractor does not perform preliminary moderation of Client content. The Client is liable for violations of third-party rights when posting content.
9. Confidentiality and personal data
9.1. The procedure for processing personal data of Service users is defined by the Privacy Policy available at dynapi.ru/privacy.
9.2. The Contractor undertakes to take all necessary measures to ensure the confidentiality of Client data, except where disclosure is required in accordance with the legislation of the Russian Federation.
10. Forms and public submissions
10.1. The Service allows the Client to create forms for collecting data from visitors to the Client’s website (hereinafter — “Public forms”).
10.2. Data collected through Public forms is stored on the Contractor’s servers until the Client explicitly deletes it through the Service interface. The Client is responsible for deleting outdated data within the time limits established by applicable Russian Federation legislation and/or the Client’s own privacy policy.
10.3. With respect to data collected through Public forms, the Client is the data controller, and the Contractor is the processor (see Section 4 of this Agreement).
11. Term and termination
11.1. This Agreement enters into force upon the Client’s acceptance of the offer and remains in effect until its termination.
11.2. The Client may terminate this Agreement at any time by sending a corresponding notification through the Service interface (account deletion) or by emailing the Contractor.
11.3. The Contractor may terminate this Agreement unilaterally (out of court) in cases of:
- the Client’s violation of this Agreement, including posting of prohibited content (Section 6);
- inactivity by the Client for 12 (twelve) consecutive calendar months;
- the Contractor’s cessation of services for economic or technological reasons — with mandatory notification to the Client at least 30 (thirty) calendar days in advance.
11.4. Upon termination, the Client may request an export of their data in the format provided by the Client’s subscription plan functionality (e.g., via the backup mechanism, if available on the plan). The request must be sent to the Contractor’s email no later than the termination date. The Contractor provides the export within a reasonable period, not exceeding 30 (thirty) calendar days from the request receipt. After this period, the Client’s data is deleted.
12. Liability of the parties
12.1. For non-performance or improper performance of obligations under this Agreement, the parties are liable in accordance with the legislation of the Russian Federation.
12.2. The Contractor does not guarantee absolute uninterrupted operation of the Service and is not liable for temporary disruptions caused by force majeure, actions of third parties (including hacker attacks), or technical failures outside the Contractor’s area of responsibility.
12.3. The aggregate liability of the Contractor to the Client for any claims related to the use of the Service is limited to the amount actually paid by the Client to the Contractor during the 3 (three) months preceding the moment the claim arose.
12.4. The Contractor is not liable for any indirect damages of the Client, including lost profits, data loss (unless the Contractor acted intentionally), or equipment damage.
13. Force majeure
13.1. The parties are released from liability for non-performance of obligations under this Agreement if it was a consequence of force majeure circumstances: fire, flood, earthquake, war, strikes, acts of state authorities, or other circumstances that arose after the conclusion of the Agreement and are beyond the parties’ control.
14. Dispute resolution
14.1. All disputes arising from or relating to this Agreement shall be resolved through negotiations between the parties. The claim consideration period is 30 (thirty) calendar days from the date of receipt.
14.2. If no agreement is reached, the dispute is submitted to the Arbitration Court at the Contractor’s location (in accordance with Articles 35 and clause 4 of Article 37 of the Arbitration Procedure Code of the Russian Federation), considering that both parties are individual entrepreneurs or legal entities.
14.3. The applicable law is the legislation of the Russian Federation.
15. Final provisions
15.1. The Contractor may unilaterally amend this Agreement. The current version is posted at dynapi.ru/terms. Amendments enter into force from the moment of publication, unless otherwise provided by the amendment itself.
15.2. If any provision of this Agreement is found invalid, the remaining provisions remain in force.
15.3. The Contractor does not transfer its rights and obligations under this Agreement to third parties without the Client’s prior consent, except in cases of reorganization of the Contractor.
15.4. This Agreement is drawn up in Russian and English. In case of discrepancy between the texts, the Russian text prevails.
16. Purchase of a license for installation on the Client’s own server
16.1. In addition to using the Service under this Agreement, the Client may, through the Service interface, purchase a license to install the DynapiCMS software on the Client’s own server (hereinafter — the “License”).
16.2. The purchase of the License is a separate contract, distinct from this Agreement. Its subject matter comprises: provision of an activation key, the right to use the DynapiCMS software for the paid period, and access to online key verification.
16.3. The license contract is deemed concluded from the moment the payment for the selected license plan is completed. License plans and validity periods are published on the purchase page.
16.4. Acceptance of the license offer is constituted by the Client’s actions to pay for the selected plan (clause 3, article 438 of the Civil Code of the Russian Federation).
16.5. The provisions of this Agreement on intellectual property (Section 8), liability (Section 12), force majeure (Section 13), and dispute resolution (Section 14) apply to License relations, unless otherwise follows from the nature of the license contract.
